Terms of Service

These Terms govern use of AssistantChat, operated by Okitour Japan Inc.
Effective date: May 7, 2026

Article 1 (Scope)

These Terms govern the use of "AssistantChat", a SaaS customer-support chat platform, and its related services ("Service") provided by Okitour Japan Inc. ("we" / "us"). By using the Service you are deemed to have agreed to these Terms.

Article 2 (Definitions)

Key terms: "User" means any individual or entity that uses the Service. "Account" means the registration information required to use the Service. "Project" means an independent workspace created by a User on the Service. "Seat" means a slot for an operator (owner, admin, or agent) authorized to handle conversations within a Project. "Content" means any data a User or end-user inputs, transmits, or views through the Service.

Article 3 (Registration)

Users must register accurate and complete information when creating an account. We may refuse registration, or cancel an existing account, if the information is false, incomplete, or otherwise inappropriate.

Article 4 (Fees and Payment)

Fees, payment methods, billing timing, and refund conditions for paid plans (Basic / Premium / Enterprise) follow the pricing page on this site and our Notation Based on the Specified Commercial Transactions Act. Monthly or annual subscription fees are charged immediately upon order confirmation to the registered credit card via Stripe or another designated payment processor. Annual subscriptions automatically renew every year from the contract date unless cancelled.

Article 5 (Seat Billing)

Each plan includes a fixed number of seats (Basic: 3, Premium: 5). When a User activates a member beyond the included seats, the additional seat is billed immediately on a prorated basis for the remainder of the current cycle. If a member is later deactivated, the seat continues to be billed through the end of the current cycle, with the lower count taking effect from the next cycle. The Basic plan is capped at five seats per project.

Article 6 (Grant of License)

Provided the User maintains an active subscription, we grant a non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, redistribute, reverse-engineer, rent, sell, or sublicense the Service beyond the uses permitted in these Terms.

Article 7 (Prohibited Conduct)

Users must not: (1) violate laws or public order; (2) engage in criminal activity; (3) interfere with the operation of the Service; (4) use the Service for spam, phishing, or other abusive activity; (5) unlawfully obtain personal data of other users or end-users; (6) reverse-engineer, copy, or redistribute the Service's source code; (7) infringe any intellectual property, privacy, or other rights of us or any third party; (8) attempt unauthorized access; (9) perform vulnerability scans or penetration tests on our servers without prior written consent; (10) engage in any other conduct we deem inappropriate.

Article 8 (Suspension)

We may suspend or interrupt the Service, in whole or in part, without prior notice in case of: (1) system maintenance or updates; (2) force majeure including earthquake, lightning, fire, power outage, or natural disaster; (3) computer or network failures; (4) any other case where we determine that continued operation is impracticable.

Article 9 (Intellectual Property)

All intellectual property rights in the Service and its related software, images, text, and logos belong to us or the respective rights holders. Users may not use these assets beyond the scope explicitly permitted in these Terms. Copyrights in any Content submitted by Users or end-users through the Service remain with the Users or end-users.

Article 10 (Disclaimer)

We do not warrant, expressly or impliedly, that the Service is free of defects (including but not limited to safety, reliability, accuracy, completeness, fitness for a particular purpose, or security). Except for willful misconduct or gross negligence on our part, we bear no liability for any damages arising from the Service. In any event, our aggregate liability shall not exceed the total amount actually received from the User during the preceding 12 months.

Article 11 (Changes)

We may change or discontinue the Service upon prior notice to Users, and we shall not be liable for damages arising from such changes or discontinuation.

Article 12 (Changes to Terms)

We may revise these Terms at any time upon notice. Revised Terms take effect once posted on this site; continued use of the Service after posting constitutes acceptance.

Article 13 (Personal Information)

Handling of personal information of Users and end-users is governed by our separate Privacy Policy.

Article 14 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute arising between us and a User in connection with the Service or these Terms shall be submitted to the Fukuoka District Court as the exclusive court of first instance.

Supplementary Provisions: These Terms take effect on May 7, 2026.
